Closing the Gap in the Northern Territory National Partnership Agreement

This legal contract (“Contract”) is entered into by and between the Government of the Northern Territory (“Territory”), and the Commonwealth of Australia (“Commonwealth”) in accordance with the National Partnership Agreement on Closing the Gap in the Northern Territory (“NPA”)

Clause 1	Definitions
1.1	In Agreement:

“Closing the Gap” means the National Indigenous Reform Agreement, which aims to achieve equality and improve outcomes for Indigenous Australians;

“NPA” means the National Partnership Agreement on Closing the Gap in the Northern Territory;

“Territory” means Government Northern Territory;

“Commonwealth” means Commonwealth Australia;

Clause 2	Purpose
2.1	The purpose of this Agreement is to set out the responsibilities and obligations of the parties in achieving the objectives of the NPA, including but not limited to, improving health, education, and employment outcomes for Indigenous Australians in the Northern Territory;

Clause 3	Duration
3.1	This Agreement shall come into effect on the date of execution by both parties and shall remain in force until 30 June 2025, unless terminated earlier in accordance with Clause 9.1;

Clause 4	Obligations Parties
4.1	The Territory agrees to provide regular progress reports to the Commonwealth in accordance with the reporting requirements set out in Schedule A of this Agreement;
4.2	The Commonwealth agrees to provide funding and support to the Territory in fulfilling its obligations under this Agreement, in accordance with the funding arrangements set out in Schedule B of this Agreement;

Clause 5	Dispute Resolution
5.1	In the event of any dispute arising under this Agreement, the parties agree to enter into good faith negotiations to resolve the dispute amicably;
5.2	If the dispute cannot be resolved through negotiations within 30 days, either party may refer the dispute to arbitration in accordance with the laws of the Northern Territory;

Clause 6	Amendments
6.1	This Agreement may only be amended in writing and signed by both parties;

Clause 7	Termination
7.1	This Agreement may be terminated by mutual agreement of the parties;
7.2	This Agreement may be terminated by either party with 90 days` written notice to the other party;

Clause 8	Legal Representation
8.1	Each party shall bear its own legal representation and associated costs in relation to this Agreement;
